Legal Advisor KSA Hayel Saeed Anam (HSA) Group - Jeddah



Job Description

  • Provide legal advice to ensure compliance with legal requirements and reduce exposure to legal risks;

  • Representing HSA Group in KSA as legal counsel in judicial and government proceedings and advocating and defending its interest in those proceedings either by himself or through local lawyers.
  • Provide primary legal support to holding company seniors and shareholders on corporate and commercial matters, contracts with third parties, employment matters, mergers and acquisitions, portfolio investments, joint ventures, strategic alliances, purchase/sale of real estate and other assets, leases, and investment structures.
  • Manage external legal counsel and liaise with Government bodies as required.
  • Manage all litigation/arbitration for the company.
  • Structure, draft and negotiate agreements for the holding company or individual shareholders. This includes but is not limited to,
    1. Articles of association
    2. Loan agreements
    3. Funding term sheets and covenants
    4. Collateral agreements
    5. Proxy agreements
    6. Purchase agreements
  • Produce legal memos, letters, emails, correspondence and reports.
  • Maintain all physical and virtual legal files.
  • Advice on legal and commercial risk related to all Group’s companies’ business activities.
  • Provide legal framework on policies to various departments.
  • Provide clear, high quality and timely advice and guidance.
  • Ensure that legislative tools are consistently applied, while maintaining a holistic approach.
  • Carry out in-depth legal analysis of the issues raised by cases.
  • Responsible for all legal activities in line with investment strategy, including numerous mergers, acquisitions and private equity transactions.
  • Responsible for the management and supervision of legal compliance surrounding our internal customer activities in KSA.
  • Prepare contracts, letters and legal documents for submission by the Group to other parties.
  • Provide advice on required changes to the compliance and enforcement framework from a legal perspective.
  • Responsible for overseeing registration, maintenance and protection of company’s intellectual property and closely coordinate with departments in charge of intellectual property within the Group.

Desired Skills & Experience

EXPERIENCE:
  • Bachelor Degree in commercial law. (LLM would be preferred).
  • Solid 10 years of work experience, preferable in a commercial organization out of which minimum of 5 years experience in similar position in MNC.
  • Fully qualified lawyer of a good standing admitted to practice law, experienced in court appearances in civil litigation or a similar experience as a solicitor in law firm or a regional set up or a mixture of both.
  • Experience in court and administrative law forumsregulatory and/or competition/anti-trust law area.
  • Experience with trademarks and IP issues.
  • Middle East region experience is mandatory.
  • Proven ability to manage change, ability to work across judicial systems and borders.
  • Strong analytical skills (analyzing referrals, creative thinking).
  • Team driven, good motivator and facilitator to ensure that set targets are achieved.
  • Able to work in a diverse environment and cultures.
  • Able to handle stress well and ability to work under tight deadlines.
  • Ability to communicate with all levels of the organization.
  • Ability to travel abroad frequently.
SKILLS:
  • Broad audit experience and the ability to interact with management at all levels.
  • High energy with a strong focus on delivery of service within tight time frames.
  • Strong knowledge of KSA laws.
  • Knowledge of international corporate and commercial laws.
  • Excellent communication skills in both Arabic and English.
  • Good knowledge of MS office.
  • Excellent presentation skills.
  • Strong team building skills and the proven ability to work with a diverse group of people.
  • Ability to develop high levels of credibility and forge solid and positive professional relationships with subordinates, peers, management and third parties are prerequisites to success in this position.
  • Strong analytical skills.
  • Demonstrated leadership skills and focus on exceeding goals and results.
  • Self motivated and ability to work independently.
